A client group approached us for representation in creating a new business entity.  In addition to legal representation, the group was also looking for business advice and guidance in recognition of the members of our Firm’s long-standing presence in the business community.  Since the client group had already been taking steps toward establishing the business, we quickly developed and obtained signatures on non-disclosure and confidentiality agreements to protect the information previously shared with others.  We identified a CPA firm with a focus on business needs to help provide a tax analysis of the choice of entity mindful of the personal financial circumstances of the members of the client group.  We also identified an intellectual property attorney to handle the client’s trademark issues.   Once the model of operation and management was agreed upon, we crafted formation and organizational documents and represented the client in negotiations with potential investors, principals and clients.  The representation is ongoing.
